Bidder participating Sogo Auction acknowledges he/she has received, read, and understands these terms.
Such right is granted at the Sogo Corporation’s sole discretion and may be revoked at any time.
1. Qualification for participating
Bidders can attend Sogo Auction, if Sogo Corporation has granted you permission to join, and make the necessary deposit before Internet auction.
Necessary deposit is not needed for the Unreserved SOGO Parade Auction members.
In order to be a member, your company must meet requirements as follows.
a. Your company has been dealt with Sogo Corporation before, and
b. Sogo Corporation has granted permission to your company
2. Warranty
The principle of Sogo Auction requires bidders to inspect what you bid at each location shown on the list. Please call or e-mail unless access to the locations are clear to persons who come to inspect. There shall be no guarantees or warranties, expressed or implied, statutory or otherwise of any nature in respect of the items offered at the auction. Each and every item will be sold “as is, where is”. The auctioneers (Sogo Corporation) shall not be liable for machines’ damages or deteriorations from passage of time/change of weather. Also, the auctioneers (Sogo Corporation) shall not be liable for any system defects occurred during Internet auctions.
3. Bidding
As before the auctioneer (Sogo Corporation) can take bids only by e-mail. Fax bids are acceptable only for Sogo Tender. All payments are to be made in Japanese Yen. The consumption tax is not included. Biddings by certain participating members may not be accepted during Internet auction. Such right is granted at the Sogo Corporation’s sole discretion.
4. Successful bids
The bidder offering the highest bid accepted by the auctioneer shall be the purchaser of the offered item and no purchaser shall retract his bid.
5. Payment
Sogo Auction invoice will be sent to the purchasers. All payments must be made to auctioneers by telegraphic transfer directly to the auctioneer’s bank account within a week. After Sogo Auction, no cancellation can be acceptable in any purchasers. In the event purchasers fall to pay 100% amount within a week after the Sogo Auction day, the purchasers shall be required to pay Sogo Corporation immediately 20% of purchase price as penalty by legal procedure.
6. Removal
After full payment has been made and confirmed, the purchase items can be removed or sent. All purchase items must be removed from the each location within 3 weeks or a storage fee may be applied.
7. Law
The terms shall be governed by and interpreted under the laws of, and action hereunder shall be commenced in Japan.
8. Deliberation
If at any time there may be dispute over bidding, the purchaser and the auctioneer will negotiate and settle.

SOGOオークション参加契約書SOGO AUCTION Rules
保証金について
当社主催のオークション参加条件として、保証金500,000円を事前に支払うこととし、当該保証金は、売買契約成立時に売買代金支払い義務に充当することとします。
Prior to participation in Sogo Auction, all company shall remit JPY500,000 as deposit.
The deposit of JPY500,000 will be offset against the successful bidding amount.
落札及び落札商品について
機械はすべて現状渡しになります。必ず下見日に検品を行うこととします。
オークションの最中は、安全上の理由により検品することはできません。
クレームには一切応じられません。
The Exhibition Machines will be sold as presented. All bidder must inspect them during the inspection period by themselves. For safety reasons, the machines cannot be inspected during the auction. Any complaints cannot be accepted.
パレードオークションにおいて、やむをえないと当社が判断した場合、一度落札された機械を再び競り直す場合があります。 その際は、2回目以降最後の落札者・落札価が正式のものとみなされ、それまでの落札は無効になります。
The Auctioneer shall have the authority at his own discretion to put any lots of the Exhibited Machines back to auction again after it was once auctioned, if he judges it to be required by unavoidable circumstances.
In this case, the Successful Bidder and price of the final auction shall be approved as a formal contract.
Result of previous ones shall be cancelled.
外部ビッドにおいて、設定した入札金額と実際の入札金額に誤差が生じる場合があります。
In case of External Bid, there might be difference between setting bid price and actual bid price.
種類品質等契約不適合責任の免責について
当社は、落札者に対し、引渡された機械が種類または品質に関して契約の内容に適合しないもの（以下「契約不適合」といいます。）であるときであっても、その責任は一切免責とし、修補請求及び損害賠償請求、代金の減額請求の一切の責任を負いません。
The Auctioneer shall assume no responsibility in contract if the any details written on a list of the Exhibited Machines differ from or the actual type or conditions. The Auctioneer shall assume no responsibility for claim for repairs, damages or abatement of the successful bidding amount.
オークション終了後、時間経過・気候の変化等による油漏れ・バッテリー不良・サビなどの機械のダメージについては当社の責任を負わないものとします。
船積みのために上記の様なダメージに修理が必要な際は、落札者に実費が請求されます。
After the auction, the Auctioneer is not liable for machine damage (such as oil-leakage, dead battery, rust) due to passage of time or change of weather.
Buyers will be automatically charged for repair of these damages if needed for transport and shipment.
商標登録された会社名及びロゴが記された機械は落札後、当該会社名及びロゴを落札者の承諾を得ることなく剥がすものとします。
Company name and Trademark as Trademark Registration can be peeled off without Buyer’s consent after the auction.
別冊の出展機械リスト及び検品書に記された全ての情報は参考であり、当社は内容の正確性に一切の責任を負わないものとします。
All information in the Exhibition Machinery List and the Inspection Sheet shall be reference purpose only. The Auctioneer makes no warranty of their accuracy.
支払い及び引き取り
落札後のキャンセルは、いかなる理由があっても認められません。
オークション後、1週間以内に落札額の入金が確認できない場合には、落札額の20％の違反金が課金されます。
After the auction, no cancellation can be acceptable for any reason.
In the event the Buyers fail to pay 100% of the amount within a week after the auction date, the Buyer shall be required to pay to the Auctioneer 20% of Successful Bidding amount immediately as penalty possibly through a legal procedure.
万が一支払いが遅延した場合、既に会員であっても次回以降のオークション参加には原則、保証金の支払いが必要となります。
JPY 500,000 as a deposit shall be required in case the Buyer could not pay the amount within a week even if the Buyer already has Sogo Auction membership.
落札者は1ロットあたり10,000円の取引手数料が課金されます。
Successful bidders are required to pay a transaction fee of JPY 10,000 per lot.
搬出の際、道交法上必要になる分解・梱包（ブルドーザのブレード、クレーンのブーム・カウンターウエイト、タイヤショベルのROPS・キャビン・バケット等）の費用は落札者の負担となります。
Cost of disassembly (and packing) required by law for transport (ex. blade of bulldozer, boom/weight of crane, ROPS/CAB/bucket of Loader) shall be charged to the Buyer.
落札機械の引き取り期間は、オークション終了日から1ヶ月以内とします。
引き取り期間終了後の引き取りには、1日につき保管料1,000円/台が課金されます。
オークション会場によっては出庫料が発生します。
The Successful Bid Machines must be carried out within 2 weeks after the auction day.
Thereafter additional charge of 1,000yen/day will be charged for storage fee
It depends on auction site that the carry out fee will be charged.
別置きのクローラクレーン部材の引取りには1日あたり45,000円の積込料金がかかります。
引取り期間終了後の引き取りには、1日につき保管料1,000円/1台分が課金されます。
JPY 45,000/day will be charged as loading fee to pick up the parts for crawler crane if they are stored at the other site.
JPY 1,000/day will be charged as storage fee for the parts for each unit.
所有権移転時期について
落札機械の所有権は、代金及び諸経費の全額を当社に支払い完了した時点（当社において受領確認できる状態になった時点）で落札者に移転します。
Once the Auctioneer confirms receipt of the payment from the Successful Bidder, the ownership of the item purchased at the Auction shall be transferred from the Seller to the Buyer.
登録書類について
車検付車両（ナンバー付含む）を落札した場合、落札者は書類一式を受領後1ヶ月後以内もしくは印鑑証明有効期日内に移転登録、又は抹消登録を完了し、その写しを当社に送付することとします。
変更登録が規定とする期限を超えても完了しない場合は、遅延損害金として1週間あたり10,000円発生します。
落札者の過失により書類等の差し替えを必要とする場合（訂正印も含む）、1通あたり50,000円を手数料が発生します。再発行が不可の場合もあります。
リサイクル券付車輌を落札された場合、リサイクル預託料を別途請求されます。
課税対象の車検付車輌（ナンバー付含む）を落札した場合、落札者は、当該オークション開催月末日から年度末までの自動車税未経過分相当額を、出展者が納付した金額をもとに負担するものとします。
The Buyer must complete Transfer of Registration or Deregistration within an expiration date of Certificate of Registered Seal or one month after receiving the documents if the buyer purchases the Exhibit Vehicle with Automobile Inspection Certificate and Number Plate. A set of copy must be sent to the Auctioneer.
If the registration is not completed within the deadline, 10,000yen/ week will be charged for penalty of delay.
If the document has to be re-arranged due to Buyer’s negligence, 50,000yen per document will be charged. In some case the document may not be available.
The Recycle Deposit fee shall be charged on the Buyer who purchase the Vehicle with a Recycle Ticket.
The Buyer must pay the Automobile Tax the period of the end of month auction was held to the end of year, based on the amount of the Seller has paid.
輸出管理について
落札者は、落札機を海外で使用、又は海外に輸出する場合、落札者自らの責任で落札機が大量破壊兵器等の開発、運搬等に用いられる恐れがないか等、日本及び仕向け国の海外為替及び海外貿易法などの輸出管理関連法令に規定された輸出管理上の留意事項を遵守し、必要な措置をとる責務を負うものとします。
When using or exporting the auctioned machine outside of Japan, It is the buyer’s own responsibility to make sure the machine will not have any affiliation with weapons of mass destruction and follow the Export Administration Act.
反社会的勢力排除
落札者が、個人または団体であるかを問わず、反社会的勢力または反社会的勢力と関わり
があった場合には、当社は何らかの事前通告を要しないで、オークションの参加の拒否、または出展・落札の取消ができるものとします。この場合、落札者に損害が生じても、当社はこれを一切賠償する義務を負わず、落札者は、当社が被った損害の賠償をする義務を負うものとします。
Exclusion of Anti-Social Forces
If a Buyer, whether an individual or an organization, falls under crime group, a related company of crime group, the Auctioneer may refuse its admission, refuse its participation in the Auction, or cancel its exhibition or successful bid without any prior notice. In such case, the Auctioneer shall have no obligation to compensate for any damage incurred by the Buyer and Buyer shall have the obligation to compensate the Auctioneer for any damage incurred by it.
免責
当社は、オークションを通じて情報の提供もしくはオークションの遅延・変更・中止の場合において落札者に発生した一切の損害について責任を負わないものとします。
The Auctioneer shall assume no responsibility for any damage incurred to Buyer due to provision of information, or any delay, change, cancellation, or closure of the Auction.
賠償責任
当社は、開催にあたる搬入から搬出までの間、盗難及び損傷は当社が保証しますが、その期間においての放置機械等正当な手続きのない機械や地震・ひょう・大雪・洪水・その他の天災や当社の責任が認められない場合は、当社はその対象としないものとします。
The Auctioneer shall compensate for any theft of or any damage to the machine or vehicle that occurs during the period of the Auction, which is from the time such machine or vehicle is carried into the auction site to the time when it is carried out from the auction site. However, the Auctioneer shall not compensate for any theft of or damage to any machine or vehicle abandoned at the auction site during such period or any other machines or vehicles for which due procedures have not been followed or any damage caused by an earthquake, hail, heavy snow, flood or any other natural disaster or any other reason not attributable to the Auctioneer.
準拠法
本規約の成立、効力、履行及び解釈に関しては、日本法が適用されるものとします。
The laws of Japan govern the conclusion, validity, performance and interpretation of these Agreements.
協議及び管轄
本規約に定めのない事項及び解釈に疑義が生じた場合には、当社と出展者及び落札者が誠実に協議し、解決するものとします。当社との取引、運営、その他本規約に関しては日本の法令に基づき解釈され、本規約またはオークションに基づき、もしくは関連して紛争は生じた場合には、東京地方裁判所又は東京簡易裁判所を当該紛争に関する第一審の専属的合意管轄裁判所とします。
If any doubt arises in relation to matters not stipulated in these Rules or the interpretation of these Rules, the Auctioneer and Bidder shall discuss in good faith for solution. The transactions with the Auctioneer, operation of the Auction and any other matter regarding these Rules shall be interpreted in accordance with the laws of Japan. The parties agree that the Tokyo District Court or the Tokyo Summary Court shall have exclusive jurisdiction for the first instance over any dispute arising from or relating to these Rules or the Auction.
本規約の改定
本規約の改定は、当社は、その運営上必要かつ相当であると認める場合、委託者および落札者の承諾を得ることなく、変更規定の内容を当社が適当と判断する方法で出展者および落札者に通知することにより、本規約を改定できるものとします。この場合、出展者及び落札者の権利義務その他当社の運営・管理に関する条件は、変更後の規約によるものとします
The Auctioneer may amend the Agreements if it deems necessary and appropriate for the operation thereof. In such case, the rights and obligations of the Consigners and Buyers and any other terms and conditions regarding the operation and management of the Auctioneer shall be in accordance with the amended Rules.
安全注意義務について
アンリザーブドSOGO オークション会場の来場者は、十分な安全注意義務を負うものとし、オークションヤードにおける怪我、事故、盗難等に関して弊社は一切責任を負いません。
Attendees of Unreserved SOGO Auction must be responsible for their own safety. SOGO Corporation will not be responsible for any injuries, accidents, or theft at the event.
